Shortly before the closing, the Koskisen Board of Directors decided that the existing owners of Iisveden Metsä will receive 1 million of the new shares. In addition, the sellers will receive a cash payment of €16 million.
The capital increase to finance the purchase price was approved by the Koskisen shareholders at the Annual General Meeting on May 15. The subscription price of the new share was € 7.18 per share, taking into account the dividends of € 0.12 per share also approved by the Annual General Meeting. The Koskisen share is currently trading at just over € 8 on the Helsinki stock exchange. After completion of the capital increase, the total number of Koskisen shares is around 24.1 million.

The Finnish Koskisen group will acquire the business operations of the sawmill Iisveden Metsä Oy in the Finnish town of Suonenjoki.
The transaction will be carried out as a business acquisition. Apart from certain limited exceptions, this comprises the entire business of Iisveden Metsä, including the production facility in Suonenjoki with its machinery, equipment and inventories. As Koskisen informs, the transferred business does not, however, include the target company’s receivables, cash and cash equivalents, or other financial assets or liabilities.
Last year, Iisveden Metsä generated €52.7 million in sales and EBITDA of €1.4 million.
As a result of the acquisition, Koskisen will need around 1.9 million m³ of log wood each year (Iisveden Metsä: 400,000 m³), while lumber capacity will reach approximately 540,000 m³ (Iisveden Metsä: 140,000 m³).
In addition to lumber and planed timber, Koskisen also produces plywood, chipboards and thin veneer plywood.
The completion of the transaction is subject to approval by the Finnish and Estonian competition authorities, approval by Iisveden Metsä’s general assembly of shareholders and the fulfillment of certain other ordinary closing conditions. Koskisen expects the transaction to close in the first half of 2025.
